The question becomes the timing of the payouts and making sure they align with shareholders. It was originally set up so that officers weren't giving a lot of cash if the stock did poorly. The options should be awarded on long term timeframe and it's not always apparent from article on when options can be exercised. Somebody more in finance can answer if how values of options are seen.
The types of people who can buy the most shares are also the ones most likely to be getting golden parachutes.
That's some significant value. If you make it a default condition amongst the elite, you don't even need to bother being in some kind of conflict of interest in order to get one.
I was going to note the traditional argument but I see it is already contained in the article you linked.
